Such cases act as a guide to the corporations and the directors, along with officers of the company, to not indulge in such activities, which might result in insolvent trading. The Victorian Supreme Court Justice Mandie in this case held that the non-executive director of the company, i.e., John Elliott had failed in preventing the company from undertaking the debts at such time period, when the company was insolvent, and so, the relevant provisions of the Corporations Act, 2001 (Cth), i.e., section 588G had been contravened (Allens, 2017b). In February 2000, the Walter Wheel companies were put in the voluntary administration. Civil proceedings were initiated by the ASIC, i.e., Australian Securities Investments Commission against the non-executive director, chairman and the managing director of the company for the contravention of the insolvency provisions (Jade, 2017). In the following parts, this very case has been discussed in the IRAC format, to examine the case in detail. Issue Whether the companies was insolvent at the time of incurring the debts, or not? Were there reasonable grounds to suspect the insolvency of the companies, or not? Whether the directors were in a position so as to have been aware about the rational justifications for suspecting insolvency, or not? Rule As per section 588G of the Corporations Act, 2001, it is the duty of the directors to safeguard the company from any insolvent trading. The applicability of this section is only in such cases where the individual was the director in the company, at such point of time, when the debt was incurred by the company (WIPO, 2015). Further, the company had to be insolvent at that period of time, or has to become insolvent subsequently, as a result of incurring the debt or incurred debts at such period of time, and one of the debts was the one undertaken by the director. The next requirement is that at such point of time, there had to be presence of reasonable grounds for suspecting the insolvency of the company, or that the company would become so, if the debt is incurred. And lastly, the time is after or at the time the Corporations Act, 2001 was incurred (Australasian Legal Information Institute, 2017a). If the person fails in preventing the company from undertaking a debt, this section would be breached only when the individual was aware at the time of undertaking the debt that there were grounds to suspect the companys solvency; or in such a case where a prudent individual in similar circumstances and in same position would have been so aware. A contravention of this section leads to a civil penalty as per section 1317E of this act, as per which, the court makes a declarations of contravention (ICNL, 2017). A defense which can be used to shield a claim of 588G can be found in the case of 588H (Condon Associates, 2010). As per this section, if at the time of undertaking the debts, the individual had sufficient grounds for expecting or did in reality expect the solvency of the company, at that particular time and even after incurring of such debts, the individual cannot be held in breach of section 588G. For this, reasonable grounds have to be shown that a reliable or competent individual had been responsible for ensuring that the adequate information was provided to the director regarding the solvency status of the company and that such other individual had fulfilled such responsibility in a proper manner. A supporting point can be made by the director that proper care and view was taken while adopting the view of the other person (Federal Register of Legislation, 2017). Young CJ, in the case of Manpac Industries Pty Ltd v Ceccattini [2002] NSWSC 330 held that section 95A had to be used for acknowledging if the company would be able to pay off its debts as and when they fall due. And for this, the decision given by Lindgren J in the case of Melbase Corp Pty Ltd v Segenhoe Ltd [1995] FCA 1225; (1995) 17 ACSR 187, was quoted. As per this particular decision, for ascertaining the solvency, a cash flow test had to be used, instead of using the balance sheet test (Lhuede Alderman, 2009). A non-executive director of the company is required to take certain steps so as to put their own self in such a position which would enable the monitoring of the company, along with exercising and forming an autonomous judgment. And this has to be done in an intelligent and diligent mater as per the information, which might be demanded in fairness from the agents, executives or the employees of the company, along with the information which is available to him (Keay, 2007). Any competent court would confirm that when a director of the company was aware of certain facts which could support the susceptibility of the insolvency, it would not be considered regarding whether or not there was an actual suspicion on part of the director. In other words, the own state of mind of the director cannot assist them in a relevant manner. Then again, if it cannot be established that the director had been aware of these grounds, though a prudent director in a similar position would have known about the same, then it remains irrespective that there was a lack of awareness on part of the particular director (Cassidy, 2006). To establish if a debt is incurred or not, the same does not have to depend upon a legal analysis of the relevant terms in a strict manner. It actually is initiated when in commercial reality and in substance, the company becomes exposed to the relevant liability. For establishing that the directors had failed in undertaking insolvent trading and could not prevent such actions, the inactivity, along with the failure in attempting to safeguard the company from incurring or trading in the debts, is sufficient for establishing a failure in prevention of the company, within the meaning contained in section 588G(2). Application In order to decide upon the solvency of the company, the judges believe that the best test is the cash flow test, which relates to the question of the company paying off its debts, at the time they fall due. This is due to the verdict given in both Manpac Industries Pty Ltd v Ceccattini and Melbase Corp Pty Ltd v Segenhoe Ltd. In the matter of ASIC v Plymin, the company was insolvent, as per the contentions made by the ASIC, from the date of September 14th, 1999 onwards (ASIC, 2017). On this particular date, the managing director had been informed by the ANZ Bank that the funds from the partial sale of the business had to be paid to the banks for reducing the debts which were owed by the company to the bank. The bank had made a decision to terminate the relationship with the company of Water Wheel. Further, the bank had also stated that the credit facilities of the company were repayable on demand. This is coupled with the fact that throughout the year of 1999, the company had never paid and was continuing to not pay the majority of the debts, which had been incurred by it. Hence, the company was insolvent (Australasian Legal Information Institute, 2017b). The next issue is to establish the presence of reasonable grounds for suspecting that Water Wheel was insolvent. And this has to be judged as per the standard or the objectives of rationality, which is reasonable for a non-executive director or a director, with regards to the rational diligence and competence (Baxt, 2005). In this particular matter, Elliot had the knowledge of the facts, along with the matter, which led to reasonable grounds being raised for suspecting the insolvency of the company. The particular matters relate to: The concerns regarding the point that the financial controller had already raised the issue of the company being possibly insolvent; For the year ending December 3rd, 1998, the audited loss stood at a value of $879,000 and the value of the losses for the half year to the date of June 3rd, 1999 stood at a value of $2.135 million; The company Deloitte had been appointed for investigating on the loss undertaken in the year of 1998. This was done to decide on the matter regarding whether or not this particular loss could be attributed to the flour sales which were not attributed as a result of the new computer system. By the time of April 1999, this company had established that there was no proof to show that unrecorded sales had taken place. ANZ bank had indicated that this particular company, in its credit facility arrangements was in default and had also placed all the facility arrangements on demand; and By the end of August 1999, it was very well known that the creditors were owed an amount to the value of $10.4 million, the debt of the ANZ Bank amounted to a value of $5.7 million, and that the current assets of the company were valued at an amount of $12.3 million (Lhuede Alderman, 2009). It was very clear and apparent that Elliott had closed his eyes shut over the financial difficulties being faced by the Water Wheel and so, there was a non-availability of the defense to the claims which had being raised against him (Lhuede Alderman, 2009). The next point which has to be established relates to the prevention on part of the directors of the company from incurring the debts, when the insolvency condition has been clearly established. In this particular matter, it is clear that the directors did not take any step to stop the company from continuing its trade, which kept on pilling up the debts. And regarding when the particular debts were incurred, in this matter, in case of sale of goods, the debts were incurred on every such occasion when such an order was delivered (Australasian Legal Information Institute, 2017b). On these bases, it can be stated that the companies were insolvent at the relevant period and at this relevant period, the companies incurred numerous debts. Both Elliott and Plymin were the directors of the company at this relevant time period and so, were directors when the debts were incurred by the company. There was a presence of reasonable grounds at relevant time period for suspecting the insolvency of the company and so, these reasonable grounds were present at the time when the debts were incurred (Australian Institute of Company Directors, 2017). The directors of the company had clearly failed in preventing the companies from undertaking these debts. And the directors were also aware about the facts that such debts were being incurred, even when they knew that the companies were insolvent. A reasonable person in their place would have refrained from incurring such debts, due to the circumstances highlighted here. And such an individual, being at the position of the directors, would have been aware about the grounds for insolvency (Australasian Legal Information Institute, 2017b). Conclusion On the basis of the details given above, it can be concluded that there had been a clear breach of section 588G, on part of the directors of the companies. I want to comment specifically on Marlowââ¬â¢s reasons to start for Africa; on the significance of ââ¬Å"darknessâ⬠in the story; and of Conradââ¬â¢s perceptions of colonization. I argue that in The Heart Of Darkness we are taught that violating people and cultures, which are different to ours, may seriously damage a human soul.Marlow seems to travel to Africa for several reasons. First, he made his child dream alive with admiration of ââ¬Å"all the glories of explorationâ⬠(Conrad, 1946, p. 52) and ââ¬Å"many blank spaces on the earthâ⬠(ibid.). Significant is his fascination with ââ¬Å"a mighty big riverâ⬠, on the African map, which resembled in his mind of ââ¬Å"an immense snake uncoiled, with its head in the sea, its body at rest curving afar over a vast country, and its tail lost in the depths of the landâ⬠(ibid.). Marlow recalled that this snake-like river mesmerized him as if he was a bird.In the beginning of the narration, it is obscure why Marlow, first, refers to Africa among the places unexplored as delightful, and then, suddenly, speaks about ââ¬Å"a place of darknessâ⬠(ibid.). One critic assumed that Africa ââ¬Å"functions in the novel as a ââ¬Ëfoilââ¬â¢ for Europe, constituting a negative, blank space onto which is projected all that Europe does not want to see in itself, everything that is abhorrent and abjectâ⬠(Brown, 2000, pg. 2). In our minds, snake symbolizes danger and seduction. It seems that the image of mysterious continent seduced Marlow into ââ¬Å"the night journey into the unconscious, and confrontation of an entity within the selfâ⬠(Guerard, 1987, p. 9).Marlow was not a businessman to get ivory at the Belgian trade stations. He was a sailor of peculiar sort, ââ¬Å"a seaman, but he was a wanderer, tooâ⬠(Conrad, 1946, p. 48). Marlow refers to the black continent as ââ¬Å"the farthest point of navigation and the culminating point of my experienceâ⬠(Conrad, 1946, p. 51). To him the desire to reach the river, which he has been dreaming about since the childhood, was somehow unreasonable. ââ¬Å"I must get there by hook or by crookâ⬠(Conrad, 1946, p. 53), he explained to the listeners of his story about Mr. Kurtz.From the very beginning, the narrator underlines a strange uneasiness about the travelling obsession, as if ââ¬Å"instead of going to the centre of a continent, I were about to set off for the centre of the earthâ⬠(Conrad, 1946, p. 60). The atmosphere of mystery and bad expectations is created by the author through the striking contrasts of dark and light, which are described in details by Marlow.At first thought, a reader thinks of the juxtaposition as natural distinction between England, where ââ¬Å"the water shone pacifically; the sky, without a speck, was a benign immensity of unstained light; the very mist on the Essex marshes was like a gauzy and radiant fabricâ⬠(Conrad, 1946, p. 46); and Africa with ââ¬Å"colossal jungle, so dark-green as to be almost black, fringed with white surfâ⬠(Conrad, 1946, p. 60). As Guerard puts it, ââ¬Å"the introspective voyager leaves his familiar rational worldâ⬠(1987, p. 10), where everything is seen through the light lens. On the contrast, African river, the former fairy-tale snake, turns into the ââ¬Å"streams of death in life, whose banks were rotting into mud, whose waters, thickened into slime, invaded the contorted mangroves, that seemed to writhe at us in the extremity of an impotent despairâ⬠(Conrad, 1946, p. 62). Guerard on the point of death references states, ââ¬Å"And even Kurtz, shadow and symbol though he be, [â⬠¦] is sharply visualized, an ââ¬Ëanimated image of death,ââ¬â¢ a skull and body emerging as from a winding sheet, ââ¬Ëthe cage of his ribs all astir, the bones of his arm wavingââ¬â¢Ã¢â¬ (1987, p. 14), proceeding with the remark, ââ¬Å"This is Africa and its flabby inhabitantsâ⬠(ibid.). Thus, a negative conceptualization of Africa as a dark, mysterious and perilous place is evident here. There white men become shadows of death and repulsive in their change.Besides scenery-based references to dark a nd light, there is another important realm where this contrast plays a significant role. That is the relationships of different races on the African continent. Marlow stresses that he is ââ¬Å"not particularly tenderâ⬠(Conrad, 1946, p. 65). Yet this mature and harsh man is beyond himself with bewilderment, sorrow, disgust and even terror at watching how hard native people were exploited by Belgian colonizers. The scene when he arrives at the trade station and meets the party of chained black starving ragged creatures doing unbearably hard work is striking. He speaks of devils there, comparing ââ¬Å"the devil of violence, and the devil of greed, and the devil of hot desireâ⬠(Conrad, 1946, p. 65) to ââ¬Å"a flabby, pretending, weak-eyed devil of a rapacious and pitiless follyâ⬠(Conrad, 1946, p. 65), evidently meaning colonization.The key to the understanding of genuine yet implicit motives the author held in mind when contrasting dark and light is Marlowââ¬â¢s reference to England as ââ¬Å"one of the dark places of the earthâ⬠(Conrad, 1946, p. 48). He proved his point by reconstructing the behavior of the Romans during the colonization of the British Isles. However, Marlow does not call them colonizers. Neither does he give such name to the Belgian pilgrims in Africa, which means that he ââ¬Å"establishes certain political valuesâ⬠(Guerard, 1987, p. 14). Brown assumes that ââ¬Å"in Marlows account of his journey [â⬠¦] there can be observed an obscure vacillation between the horror as an effect of colonial intervention and the location of the horrors cause as the environment itselfâ⬠(2000, pg. 6). The negative attitude to colonization, therefore, is implicit in the story, when ââ¬Å"colonial intervention [â⬠¦] loses its possible critical edge by remaining an account merely of atrocious things happening in the colonies. This contrasts to the perversion of the Wests self-imageâ⬠, as Brown proves (2000, pg. 6).Africa became a suitable territory for ââ¬Å"the devotion to efficiencyâ⬠(Conrad, 1946, p. 50) with its rich natural resources. There any man of white skin was regarded as ââ¬Å"an emissary of lightâ⬠(Conrad, 1946, p. 50) regardless of his personal qualities. And native people were seen as black ants in the fierce sun whose destiny was to carry loads and do dirty job. The living symbol of darkness in its specific sense which Conrad creates in the story is Mr. Kurtz, the most successful trading agent of the Company. Marlow is sent to pick him up from the farthest station with his loot of ivory. It appears that speaking about ââ¬Å"heart of darknessâ⬠(Conrad, 1946, p. 95), Marlow did not mean the dark tint of African rivers or the dark color of the bush. Instead, he spoke about ââ¬Å"the triumphant darknessâ⬠(Conrad, 1946, p. 159) of a white ruthless colonizer like Mr. Kurtz.In the end, Marlow recalls ââ¬Å"the colossal scale of [Kurtzââ¬â¢s] vile de sires, the meanness, the torment, the tempestuous anguish of his soulâ⬠(Conrad, 1946, p. 156). A poor man who was unable to marry the woman he loved, Kurtz became a successful trader who served at his best for the Company but never forgot his own promotion. In his strive to be an honoured member of the high and prosperous society, Kurtz stomped over all human virtues of respect, morals, servitude and humanism. The dry heads, which surrounded his last camp in the African wilderness, symbolize the dryness of his human nature. Kurtz was a gifted and charismatic leader. However, he embodies the ââ¬Å"triumph for the wilderness, an invading and vengeful rushâ⬠(Conrad, 1946, p. 156). Marlow refers to him as a ââ¬Å"soul satiated with primitive emotions, avid of lying fame, of sham distinction, of all the appearances of success and powerâ⬠(Conrad, 1946, p. 147).My Intended, my ivory, my station, my river, my everything belonged to him. It made me hold my breath in expec tation of hearing the wilderness burst into a prodigious peal of laughter that would shake the fixed stars in their places. In his article OHagan also points out that donors prefer non-profit firms. With higher entrance fees, donors are less wiling to donate money or artefacts. The marginal costs of an additional visitor is zero, therefore another argument for free entry to a museum is the efficiency argument: entrance fees should then also be zero to satisfy efficiency (Frey, 2010). On the other hand, literature suggests that there are problems in determining the costs of museum services (Baily and Falconer 1998). There are still costs in allowing visitors into a building, they require security, heating, light and physical space). Free access also has disadvantages. According to Frey, efficiency is not attained if the respective museums get overcrowded and the quality of a visit decreases. This results in museums limiting visitors by enhancing admission restrictions, such as requiring visitors to place a reservation in advance. This raises the danger than tickets can be sold on the black market, a visit then cab still become a costly experience. Visitors can also think that something that has no price, has no value resulting in a decrease in a museums total revenue. In his article Steiner (1997) calculates the impact of free entry for one day to the total revenue of a museum. His study shows that the amount of additional visitors does not overcome the loss of the admission charges it would receive on a normal day. Most of the museums that offer free access, charges for access to special or blockbuster exhibitions. Another strategy for free museums to make visitors pay is asking for a donation at the end of the visit. By doing so, they museum captures the wiliness to pay form visitors (OHagan 1995). A visitor is not obliged to pay, but often willing to do so as they enjoyed the visit. The more satisfying the visit, the more a visitor is willing to pay. This is also a better distribution of welfare, as the social higher classes have to ability to pay more, and the lower social classes have the ability to pay less. With free entrance leading to a higher amount of visitors, exit donation can bring in significant extra financial resources for a museum. Prices can be differentiated to allocate the resources as efficiently as possible. According to Frey, when demand is low, prices should be kept close to zero. When demand is high, prices can be higher to avoid overcrowding, This enables visitors with the highest willingness to pay to enter the museum. People with a low price elasticity should be charged higher prices than visitors with a high price elasticity of demand. Finally, price can be differentiated when visitors target a special exhibition, normal collection should be priced lower. Another option is to charge local visitors less than foreign visitors or tourists as tourists have a significantly lower price elasticity of demand than locals. Often, when visiting a city, visiting the museum is a must, and the additional costs of entrance fee are often easily paid for. Another argument for entrance fees is that the extra benefits a visitors receives from going to a museum, added to for example the existence value (Frey, 2006) should be paid for. As pointed out before, price elasticity of demand for cultural services is low, therefore ticket prices may not be the best explanation for demand. OHagan finds that, when The Long Room of Trinity College Dublin stated on entry that admission prices are required to improve the quality of the visit, the amount of visitors raised. Another variant of entry fees is creating a museum club. A fixed contribution is required to become a member and receive free entry to the museum. For culturally active people, this is a good solution and often cheaper than paying full entrance fees. For a museum, it has the same advantages and disadvantages of free entrance but it raises revenues (Frey, 2010) Problems with pricing is that it is often considered unfair. Considering the main role of a museum is education, it should be free for everyone to visit and become educated. In his article, Frey proposes a whole new pricing mechanism for museum: the application of exit prices. Instead of charging visitors when they enter a museum, they are charged on exit. The amount of time spent in the museum sets the exit price. A disadvantage of this proposal is that the length of visit becomes a great part of an economic calculation. A major advantage is that the experience of the visit, is charged afterwards. If the experience was not satisfying for the visitor, he/she would leave early and pay a lower price. Visitors pay for their use of the facility, this raises efficiency. The price system can considered to be less unfair, because up to a certain point, people can set their own prices. Frey also opts for the first 20 minutes to be free of charge, so that people who normally would not visit a museum, receive an incentive to stay only for a short period, maybe they will return later for a longer visit. The Dutch case study Aarts de Jong Wilms Goudriaan Public Economics (APE) has been commissioned by the ministry to research the possibilities for free entry for Dutch museums. In several extensive research papers, they calculate the effects of free entrances fees. Both options also bring in the highest overall costs for the museums, costs per extra visit are relatively low because there is no real shift in the amount of visits from days on which visitors are charged, to days visitors are not charged an entrance price. A weekly free entry on Sunday raises the most costs for the museum because a shift appears from days on which visitors are charged to days visitors are not charged any admission fee. In all cases, the loss of entrance fees causes the greatest deal of costs for a museum. Their research shows that free entry increases the number of visits, but they state: we do not expect miracles to happen from removing entrance fees. The composition of visitors has proven to be very difficult to change. In another research, done by APE they have calculated the price elasticity of Dutch museums. From 1984- 2005 admission prices raised with 6,2% per year, this does not lead to a significant change in the umber of visits. They show that with a price elasticity of -0,18 the museum sector has the lowest price elasticity of all cultural sectors. With every 1% increase in price, visits reduce by 0,18%. According to the research this is a result of the fact that potential visitors value travelling expenses and consumption costs to be more important than admission prices. The price of substitutes is a major determinant for the number of visits to a museum: when substitutes raise their prices, the number of visits to a museum increases and vice versa. Conclusion Museums have high fixed costs. This results in a high average cost curve for museums. The demand curve often lies below this average cost curve. This makes it impossible to set an entrance price at which the total amount of income received through admission fees covers the costs of the museum. However, admission prices are of the main determinants that influence the economic outcome of a museum. To increase revenue however, museums do not only depend on admission fees but also on the income that comes from museum gift shops, restaurants, and renting possibilities. Additionally, museums receive a great deal of support, sponsoring and donations. Museums have different roles to fulfil, educating is one of them, as is collection and researching. An important goal for many museums is reaching groups far from consuming culture. Other goals are financial revenue, conservation and gaining prestige. In this essay, various literature has been discussed offering different pricing options. The most important ones are free entry and efficiency admission fees, which both have advantages and disadvantages. Free entry is likely to increase the number of visitors, but museum visitors often come from higher socio-economic classes, which transfers the benefits from no entrance fee mostly to these upper classed visitors instead of the social lower classes as it is intended to. The existence value shows that museums radiate positive external effects for non-visitors, this effect supports free entrance. However, the benefits for visitors are higher than for non-visitors. Low price elasticity for museums helps support the argument for admission fees. There are various pricing options. Standard pricing is considered to be unfair, as it does not consider the willingness and ability to pay for visitors, considering the educating role, different groups of people should all be able to enter the museum. Prices need to be differentiated, allowing elderly, students and other groups to enter for a reduced price to match their ability to pay. Another option is to charge local visitors less than foreign visitors or tourists as tourists have a significantly lower price elasticity of demand than locals or the application of exit prices. The case study by APE, shows that removing entrance fees only results in a significant increase in the number of visitors when all Dutch museums would remove their entrance fees. As a result of a low price elasticity for museum visits, a change in price does not significantly affect the demand for a museum. These findings indicate that free entrance is not the best option for a museum to reach many people. Price changes do not affect the number of visits that much, a museum is better of differentiating its price in a way that lower socio-economic classes are still able to afford a visit if they decide to. Since higher socio-economic classes continue to be the most dominant visitors in a museum, an entrance fee will not likely decrease the number of visits.
